The agreement between you and Deduckt for use of our website and services. Please read it carefully.

Version 1.0 · Effective: June 14, 2026 · Contact: legal@deduckt.ai

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of Deduckt's websites, applications, and services (the "Service"). By creating an account, linking a financial account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. What Deduckt is, and what it is not

Deduckt provides educational tax information, calculations, estimates, and suggestions of potential tax strategies based on the information you give us. Deduckt is a software tool. It is not a tax-preparation service, a registered tax-return preparer, a certified public accountant, an enrolled agent, a law firm, a registered investment adviser, or a broker-dealer. We do not file returns on your behalf, and using Deduckt does not create an accountant-client, attorney-client, or fiduciary relationship.

3. Not tax, legal, financial, or investment advice

The information, estimates, and suggestions Deduckt produces are for general informational and planning purposes only and are not tax, legal, accounting, financial, or investment advice. Tax outcomes depend on your complete and specific facts and on laws that change. Before acting on anything you see in Deduckt, you should consult a qualified tax professional, attorney, or financial adviser. You are solely responsible for your own tax decisions, filings, and recordkeeping.

4. No guarantee of savings or accuracy

Deduckt's estimates are computed from the data available to it and from current understanding of applicable tax rules; actual results, refunds, liabilities, and savings will vary and are not guaranteed. We do not warrant that any figure, finding, or suggested strategy is complete, accurate, applicable to your situation, or will reduce your taxes. You are responsible for verifying any number before relying on it, including on a filed tax return.

5. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for activity under your account. Notify us promptly at security@deduckt.ai if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present a security or legal risk.

6. Consent to use tax return information

Some features require your consent for us to use or disclose your tax return information, including under Internal Revenue Code §7216. Where consent is required, we will ask for it separately and specifically before using your information for that purpose, and you may decline. You can withdraw consent prospectively at any time, which may limit features that depend on it.

7. Account linking and third-party services

If you choose to link a financial account, you authorize us and our provider Plaid Inc. to access account and holdings data on your behalf as described in our Privacy Policy. Your use of third-party services (such as Plaid or your financial institution) is also subject to their terms. We are not responsible for third-party services, and we are not liable for their acts or omissions.

8. Acceptable use

You agree not to misuse the Service. You will not attempt to access accounts or data that are not yours; reverse engineer, scrape, or overload the Service; upload malware; infringe others' rights; submit information you are not authorized to provide; or use the Service to violate any law. We may investigate and respond to suspected violations, including by suspending access.

9. Intellectual property

The Service, including its software, content, tax engine, and brand, is owned by Deduckt and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal business tax-planning purposes, subject to these Terms. You retain ownership of the data and documents you upload, and you grant us a license to process them solely to provide and improve the Service as described in our Privacy Policy.

10. Fees

Some features may require payment. Applicable prices, billing terms, and any refund terms will be disclosed to you before you are charged. We may change prices prospectively with notice. You are responsible for any taxes associated with your purchase other than our income taxes.

11. Disclaimers of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any result or estimate will be accurate or complete. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Deduckt and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, taxes, penalties, or interest, arising out of or related to your use of the Service, even if advised of the possibility. To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold Deduckt harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms or of law, or your tax filings and decisions.

14. Dispute resolution and arbitration

Please contact us first at legal@deduckt.ai so we can try to resolve any concern informally. Except where prohibited by law, you and Deduckt agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration on a non-class basis, and you and Deduckt each waive any right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms. Either party may bring an individual claim in small-claims court. This section does not apply where it is unenforceable under applicable law.

15. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except where preempted by federal law (including the Federal Arbitration Act). Subject to the arbitration section, the state and federal courts located in California will have jurisdiction over disputes not subject to arbitration.

16. Changes to the Service and these Terms

We may modify or discontinue features of the Service at any time. We may update these Terms; when we make material changes, we will post the updated Terms here with a new effective date and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the revised Terms.

17. Termination

You may stop using the Service and delete your account at any time from your settings. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
